Corporate Governance

Ensuring transparency and creating trust through corporate governance and our company policies is important to us.

We are committed to fulfilling our responsibilities as an AIM listed company.

Nichols plc follows the Quoted Companies Alliance Corporate Governance Code. As an AIM listed company the Board considers that this is the most appropriate code for the Company.

The Company has a share dealing code in relation to its shares. The code was adopted by the Board in July 2016. The code applies to the Directors, other employees discharging managerial responsibilities within the Group, other employees who are privy to inside information and advisors.

Company policies

The Company has a zero-tolerance approach to:

  • bribery and corruption
  • facilitation of tax evasion
  • money laundering
  • breaches of sanctions and human rights

The Company’s compliance policies on these subjects are intended to provide assurance to all of our stakeholders that we are doing the right things by our employees and throughout our supply chain in each of our routes to market and in the right way.

Whistleblowing

Nichols plc is committed to conducting its business with honesty and integrity. We expect all employees, officers, and consultants and agents acting in the Company’s name to maintain high standards and to uphold its values.

The Company’s Whistleblowing Policy reflects the above commitment. The purpose of our Whistleblowing Policy is to:

  • encourage reporting of any concern about wrongdoing or inappropriate behaviour which is happening, has happened or is likely to happen; and
  • provide guidance on how to raise concerns.

How to report issues

Concerns and issues can be reported to the independent third party, Safecall, who has been appointed to provide a Confidential Whistleblowing Hotline.

Confidentiality
The Company will make every effort to keep the identity of anyone raising a concern confidential, so that genuine concerns reported honestly can be raised without fear of reprisals, even if they turn out to be mistaken.

Protection
The Company is committed to ensuring that whistleblowers must not suffer any detrimental treatment as a result of raising a concern. ‘Detrimental treatment’ includes dismissal, disciplinary action, threats or other unfavourable treatment connected with raising a concern.
